Their reach is global, yet their presence is local and close to customers. \n \n Senior Legal Counsel, North America, Freight Forwarding \n \n Job Type: Full-time; On-site \n \n Overview \n Our client is seeking an experienced and highly motivated lawyer to take on challenges in a fast-paced environment. This position reports to the Head of Legal, North America and has primary responsibility for providing comprehensive legal guidance to various business units and senior management on a wide range of matters, including complex legal and regulatory issues, negotiating complex contracts, and serving as the first point of contact for all material legal queries and matters pertaining to the company’s Air & Sea and Contract Logistics divisions in the U.S. and Canada. \n \n Responsibilities: \n\n • Draft, review, and negotiate legal documents, including customer and vendor agreements related to air and ocean transportation services, NVOCC services, warehousing services, 3PL and 4PL services, ocean service contracts, truck brokerage and road transportation; real estate related documents including lease agreements; equipment financing agreements.\n, • Actively manage all aspects of litigation and pre-litigation matters in an efficient, practical and cost-effective manner.\n, • Advise executive and senior management in business matters to ensure operations are conducted in a legally compliant manner, identify risks and compliance issues and advise on necessary risk mitigation measures.\n, • Support corporate compliance with internal policies, provide training to internal stakeholders.\n, • Assist with corporate governance matters, including the preparation and maintenance of business entity documents, company formation, preparing resolutions and consents, and managing annual shareholder meetings.\n, • Provide support for human resources on a range of labor and employment matters, including policy implementation and training.\n, • Interface and partner with various Group functions and key stakeholders in the U.S. and globally.\n, • Advise stakeholders on legal trends, developing areas of the law, industry trends and related risks that may impact the Company’s operations and/or services.\n, • Other duties and responsibilities as assigned.\n\n \n Experience: \n\n • Licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.\n, • Juris Doctor degree from an accredited law school\n, • Minimum eight years of legal experience with at least five years as in-house counsel.\n, • Minimum five years’ experience in the logistics and transportation industry, including experience with ocean, air and warehousing.\n\n \n Required Skills and Qualifications: \n\n • Experience in building, updating and refining contract templates customized to meet specific needs and requirements of business, while incorporating experience-informed negotiating positions.\n, • Experience with drafting, reviewing and negotiating various contracts related to logistics, transportation, procurement and complex commercial transactions, and substantive experience with industry-related regulatory matters.\n, • Ability to triage a heavy workflow, meet deadlines, prioritize workload, adapt to changing conditions, set appropriate priorities with clients and deliver results efficiently.\n, • Highly effective communications style, translating complex legal issues into readily understandable assessments and actionable recommendations that deliver business value in the context of global business strategies.\n, • Strong analytical, communication, negotiation, presentation, and strategic decision-making skills.\n, • Ability to work independently with minimal supervision while working collaboratively within a local and global team environment.\n, • Ability to problem solve with creative solutions for complicated problems that require careful analysis and good judgement.\n, • A passion for continuously identifying improvement areas and driving change.\n, • Positive attitude and forward thinking.\n, • Self-starter, results-oriented, driven to meet and exceed goals.\n, • Attention to detail and delivery of high-quality work product.\n, • Excellent interpersonal skills, an inquisitive mind, and the ability to work effectively with multiple, diverse, cross-functional stakeholders.\n\n \n Preferred Experience & Skills \n\n • Knowledge of and experience in the following areas: regulatory knowledge relating to the logistics and transportation industry, including FMC regulations and compliance, global trade compliance, including export controls, sanctions, export licensing, product diversion, deemed exports, anti-boycott laws, embargos, product classifications, global trade contract provisions, and customs matters, U.S. Foreign Corrupt Practices Act, U.K. Bribery Act, and other anti-bribery and anti-corruption law, data privacy and data protection laws and compliance (e.g., GDPR, CCPA).\n, • At least two years of managerial experience within an in-house legal department or at a law firm.\n\n \n Compensation Details: This position offers a competitive base salary.
